These Terms & Conditions govern your access to and use of EMMI intelligence services, the MOVEN productivity application, and related software, APIs, and platforms.
Notice to Users & Legal Counsel: This public working draft sets forth operational privacy, intellectual property, and AI usage terms for EMMI and MOVEN. Statutory placeholders remain subject to final verification and legal sign-off.
Welcome to EMMI. These Terms & Conditions (“Terms”) constitute a binding legal agreement between you (“User”, “you”, or “your”) and EMMI Technologies (“EMMI”, “we”, “us”, or “our”) governing your access to and use of our intelligence platform, research prototypes, websites, and the MOVEN productivity application.
By accessing, downloading, installing, or using EMMI or MOVEN, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not access or use our services.
Agreement and Scope
These Terms apply across all offerings provided by EMMI, including:
1. The EMMI public website, documentation, research publications, and preview environments.
2. The MOVEN productivity, scheduling, and habit orchestration application across web, desktop, and mobile platforms.
3. Any associated APIs, developer interfaces, automated agent loops, or experimental features powered by EMMI intelligence.
Certain specific features, enterprise agreements, or developer programs may be subject to supplemental guidelines or terms, which will be presented at the point of enrollment.
Eligibility and Accounts
To access or register for our services, you must satisfy the following eligibility criteria:
- Legal Capacity: You must be at least 18 years of age (or the age of legal majority in your jurisdiction) and possess full legal authority to enter into a binding agreement.
- Account Security: You are responsible for safeguarding your login credentials, session tokens, and passwords. You must immediately notify [email protected] of any suspected unauthorized access.
- Account Responsibility: You are solely responsible for all activities and submissions that occur under your registered account.
- Accurate Information: You agree to provide true, accurate, and current information during registration and account setup.
Permitted Use and License
Subject to your continuous compliance with these Terms, EMMI grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the platform strictly for your personal productivity or authorized internal business purposes.
You agree that you will NOT, and will not permit any third party to:
- Reverse Engineer: Decompile, reverse assemble, reverse engineer, or attempt to derive source code, model weights, or underlying architectures of EMMI or MOVEN.
- Scrape or Automate: Employ automated bots, scrapers, crawlers, or extraction tools to harvest data, models, or content without express written consent.
- Circumvent Controls: Bypass, tamper with, or circumvent rate limits, security barriers, authentication mechanisms, or access restrictions.
- Interfere with Infrastructure: Disrupt, overburden, or compromise server clusters, database services, or API endpoints.
- Harmful & Unlawful Use: Utilize the platform to generate, distribute, or facilitate harmful, defamatory, fraudulent, deceptive, or infringing content, or violate any applicable laws.
- Competitive Replication: Use the services, documentation, or model outputs to develop competing AI foundation models or commercially replicated tools.
AI Features, Disclaimers, and Limitations
EMMI and MOVEN incorporate artificial intelligence, probabilistic language models, and heuristic scheduling algorithms. You acknowledge and accept the following inherent characteristics and limitations:
A. Probabilistic Outputs & Inaccuracies
Artificial intelligence outputs are generated probabilistically and may occasionally contain inaccuracies, hallucinations, outdated information, or incomplete schedule logic. We do not warrant that AI-generated schedules, task allocations, or insights are error-free or optimal.
B. Critical Duty to Review
You are solely responsible for reviewing, confirming, and verifying all schedules, deadlines, reminders, and recommendations generated by MOVEN before relying upon them for important personal, professional, or academic obligations.
C. Strict Non-Professional Advice Disclaimer
EMMI and MOVEN outputs (including mood reflections, energy calibrations, and productivity insights) DO NOT constitute medical, clinical, psychological, psychiatric, mental health, legal, financial, or tax advice.
Our services are designed purely as productivity and organizational tools. Never disregard professional medical or therapeutic guidance or delay seeking professional advice based on content generated by EMMI or MOVEN.
D. User Responsibility for Decisions
You remain exclusively and solely responsible for your decisions, commitments, physical well-being, schedule adherence, and real-world actions.
Integrations and External Actions
MOVEN offers integration capabilities with third-party productivity environments (such as Apple Calendar, Google Calendar, and notification services):
- User Authorization: By connecting an external account or granting calendar permissions, you represent that you possess the legal authority to grant access to the relevant accounts.
- Scope of Operations: You authorize MOVEN to read, synchronize, and update calendar items in accordance with the permission scopes you enable.
- Third-Party Sync Reliability: EMMI is not liable for scheduling collisions, missed meetings, unsynced events, or calendar anomalies caused by third-party API rate limits, provider outages, or operating system sync delays.
User Content and Permissions
“User Content” refers to all tasks, notes, schedule descriptions, reflections, comments, and files you create, upload, or submit to the platform.
A. Your Ownership
As between you and EMMI, you retain all ownership rights and intellectual property in your User Content.
B. Limited Operational License to EMMI
You grant EMMI a worldwide, non-exclusive, royalty-free, transferable license solely to host, store, cache, reproduce, process, and transmit your User Content as necessary to operate, maintain, provide, and secure the services for you.
C. Content Representations & Warranties
You represent and warrant that you own or have obtained all necessary rights, licenses, and permissions to submit User Content, and that your User Content does not infringe the intellectual property, privacy, or statutory rights of any person.
Intellectual Property
The services, including all software, source code, user interface designs, visual layouts, editorial typography, audio, diagrams, algorithms, model weights, logos, wordmarks (including the EMMI wordmark and MOVEN brand assets), and trademarks, are the exclusive intellectual property of EMMI and its licensors.
Nothing in these Terms grants you any right, title, or interest in or to our intellectual property, trademarks, or proprietary trade secrets, except for the limited use license expressly set forth herein.
Third-Party Services
The services may interact with or link to third-party services, cloud platforms, libraries, and external websites. These third-party services operate under their own separate terms and conditions.
EMMI does not endorse, control, monitor, or assume any responsibility or legal liability for the performance, availability, content, or policies of third-party platforms.
Availability and Beta / Preview Features
Service Availability: We endeavor to maintain reliable service, but do not guarantee uninterrupted, continuous, or error-free availability. Scheduled maintenance, emergency updates, or network conditions may cause temporary downtime.
Experimental / Beta Status: You acknowledge that EMMI and MOVEN include early-stage, experimental, and beta components. Features may be modified, updated, tested, suspended, or discontinued at any time without prior notice or liability.
Fees and Subscriptions
Current Tier Status: Access to EMMI public web experiences and designated early preview tiers of MOVEN is currently offered on an introductory or evaluation basis.
Future Commercial Terms: We reserve the right to introduce premium tiers, usage quotas, API billing, or subscription plans in the future. Any future pricing structure, billing terms, and cancellation policies will be transparently published prior to implementation.
No Fabricated Terms: We do not invent subscription fees, refund guarantees, or payment obligations. Any commercial terms will require affirmative acceptance before any charges occur.
Privacy and Security
Our collection, processing, and safeguarding of personal information are governed by our Privacy Policy, available at https://www.emmi.in/privacy-policy.
By accessing and using our platform, you acknowledge and agree that your data will be handled in accordance with the Privacy Policy.
Suspension and Termination
Termination by You: You may terminate your account and discontinue use of the services at any time by ceasing access and requesting account removal via [email protected].
Termination by EMMI: We reserve the right to suspend or terminate your account, API access, or platform privileges immediately, without prior notice, if:
- You violate or breach any provision of these Terms or applicable acceptable use guidelines.
- We are required to do so by applicable legal process, law enforcement, or regulatory authority.
- Your account activity poses a severe security risk, infrastructure threat, or malicious behavior to our platform or other users.
- We discontinue or materially modify the platform offering.
Disclaimers of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM, SERVICES, SOFTWARE, AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
EMMI EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SYSTEM INTEGRATION, AND FREEDOM FROM COMPUTER VIRUSES OR HARMFUL CODE.
WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, ACHIEVE ANY SPECIFIC PRODUCTIVITY OUTCOME, OPERATE UNINTERRUPTED, BE SECURE, OR BE ENTIRELY FREE OF DEFECTS OR AI ERRORS.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EMMI, ITS FOUNDERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, USE, WORK STOPPAGE, OR MISSED DEADLINES, REGARDLESS OF THE THEORY OF LIABILITY (WHETHER CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO EMMI FOR USE OF THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100 USD) / EQUIVALENT APPLICABLE STATUTORY AMOUNT.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAW.
Indemnification
You agree to defend, indemnify, and hold harmless EMMI, its founders, officers, employees, and agents from and against any third-party claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:
- Your access to, use of, or misuse of EMMI, MOVEN, or the services.
- Your User Content or any infringement of third-party intellectual property or privacy rights caused by your submissions.
- Your breach or violation of any provision of these Terms or applicable statutory law.
Changes to Terms
We reserve the right to revise, update, or amend these Terms at our discretion. When updates occur, we will revise the “Last Updated” date at the top of this page.
For material modifications that affect your legal rights, we will provide reasonable advance notice through our website or application interfaces. Your continued use of the platform after revised Terms become effective constitutes your binding acceptance of the updated Terms.
Governing Law and Dispute Resolution

No Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
